These Terms and Conditions govern your use of the Clubcard Partner Portal and your relationship with Tesco Stores Limited (Tesco, we or us). By using the Clubcard Partner Portal, you agree to be legally bound by them. References to "you" and "your" are to you as an individual. As you are using the Clubcard Partner Portal in the course of your business, you are also agreeing to these Terms and Conditions on behalf of that business and references to "you" and "your" also include your business. The primary language for the Clubcard Partner Portal is English. If there is any inconsistency or conflict between any translation from English into any other language of the Terms and Conditions, Privacy Policy and Cookies Policy for the Clubcard Partner Portal, the original English version shall prevail. Any translations provided of the Terms and Conditions, Privacy Policy and Cookies are for reference only.
These Terms and Conditions refer to our Privacy and Cookies Policy which sets out the terms on which we process any personal data we collect from you, or that you provide to us, and set out information about the cookies on Clubcard Partner Portal. By using the Clubcard Partner Portal, you consent to such processing and you warrant that all data provided by you is accurate.
The Clubcard Partner Portal provides you with access to various features and services, including but not limited to, account management, reward tracking, and communication tools. The specific functionalities available may vary based on user roles and permissions.
The Clubcard Partner Portal is provided to you free of charge for use subject to these Terms and Conditions. You may only use the Clubcard Partner Portal in the course of your normal internal business activities and not for private or personal reasons and not for any third party.
Tesco reserves the right to modify, enhance, or discontinue any features or services of the Clubcard Partner Portal at any time, with or without notice, to improve the user experience, ensure security, and adapt to technological advancements. Such modifications may include, but are not limited to, the addition of new features, updates to existing functionalities, and the removal of outdated or redundant services.
By using the Clubcard Partner Portal, you acknowledge and agree that Tesco may make these changes to the Clubcard Partner Portal’s functionality and services. You further agree that Tesco shall not be liable for any modifications, suspensions, or discontinuations of any part of the Clubcard Partner Portal.
You may not use the Clubcard Partner Portal for any of the following purposes:
Disseminating any unlawful, harassing, libelous, abusive, threatening, harmful, vulgar, obscene, or otherwise objectionable material.
Transmitting material that encourages conduct that constitutes a criminal offence, results in civil liability or otherwise breaches any relevant laws, regulations or code of practice.
Gaining unauthorised access to other computer systems or confidential material.
Conducting, facilitating, authorising or permitting any text or data mining or web scraping in relation to the Clubcard Partner Portal or any services provided via, or in relation to, the Clubcard Partner Portal for any purpose.
Interfering with any other person's use of the Clubcard Partner Portal.
Breaching any laws concerning the use of public telecommunications networks.
Introducing viruses, trojans, worms, logic bombs or other material that is malicious or technologically harmful, or otherwise harmfully interacting with the Clubcard Partner Portal or any part of it.
Interfering or disrupting networks or web sites connected to the Clubcard Partner Portal.
Making, transmitting or storing electronic copies of materials protected by copyright without the permission of the owner.
You will be responsible for our losses and costs resulting from your breach of this section 8.
If you choose, or you are provided with, a user identification code, password or any other piece of information as part of our security procedures (“ID”), you must treat such information as confidential. You must not disclose it to any third party. Each ID is for a single user only. You are responsible for all activities that occur using your ID and for preventing unauthorised use of it. If you know or suspect that someone else knows your ID you should notify us immediately by emailing Clubcard_Partner_Ops@tesco.com.
If we have reason to believe that there is likely to be a breach of security or misuse of the Clubcard Partner Portal, we may require you to change your ID or we may suspend your use of the Clubcard Partner Portal in accordance with paragraph 8 below.
The content of the Clubcard Partner Portal is protected by copyright, trademarks, database rights and other intellectual property rights (the "Intellectual Property Rights"). The Intellectual Property Rights in all material on the Clubcard Partner Portal are owned by Tesco Stores Limited or its licensors. You may:
a. Retrieve and display the content of the Clubcard Partner Portal on a computer screen or mobile electronic device.
b. Store such content in electronic form on disk as necessary to display it on a computer screen or mobile electronic device, (but not any server or other storage device connected to a network).
c. Print and/or download one copy of such content for your internal business use, provided you keep intact all and any copyright and proprietary notices.
You may not otherwise reproduce, modify, copy or distribute or use for commercial purposes any of the materials or content on the Clubcard Partner Portal without written permission from us.
No licence is granted to you in these Terms and Conditions to use any trade mark of the Clubcard Partner Portal or its affiliated companies including, without limitation, the trade mark TESCO.
While the Clubcard Partner Portal strives to provide the highest quality service, Tesco cannot guarantee that the Clubcard Partner Portal will meet all your specific requirements. We also do not assure that the service will be free from faults. In the event of a fault, please report it via email to TBD and we will make reasonable efforts to correct it promptly. Tesco shall not be held liable for any reason the Clubcard Partner Portal is unavailable at any time or for any period.
Tesco does not guarantee that the Clubcard Partner Portal, or any content on it, will always be available or be uninterrupted. Tesco may suspend or withdraw or restrict the availability of all or any part of the Clubcard Partner Portal for business and operational reasons. Tesco will try to give you reasonable notice of any such suspension or withdrawal.
Tesco may suspend or cancel your use of the Clubcard Partner Portal immediately at our reasonable discretion or if you breach any of your obligations under these Terms and Conditions.
The suspension or cancellation of your use of the Clubcard Partner Portal shall not affect either party's statutory rights or liabilities.
For the purposes of these Terms and Conditions, "Confidential Information" shall mean any commercially sensitive information disclosed by Tesco to you, which is marked as confidential or is reasonably understood to be confidential given the nature of the information and the circumstances of disclosure.
You shall keep the Confidential Information confidential and not disclose it to any third party without Tesco's prior written consent and take reasonable measures to protect the confidentiality of the Confidential Information, equivalent to those taken to protect your own confidential information.
You understand and agree that Tesco does not guarantee the accuracy or completeness of any information provided in connection with the Clubcard Partner Portal. Tesco is not responsible for any errors or omissions or for the results obtained from the use of such information. Tesco gives no warranty as to the accuracy or completeness of any such information, including information made available by Tesco or our representatives.
Although the Clubcard Partner Portal will implement reasonable security procedures to ensure that no unauthorised parties gain access to the materials, because of the inherently insecure nature of the internet, the Clubcard Partner Portal does not give any other warranty in relation to this.
Because the Clubcard Partner Portal is provided to you free of charge, and for information and guidance purposes only, this is our entire liability to you under these Terms and Conditions. The Clubcard Partner Portal is provided 'as is', without any conditions, warranties or other terms of any kind.
We exclude all liability and responsibility for any loss or damage (including without limitation any direct or indirect loss, lost data, lost profits or loss or damages arising from or connected in any way to business interruption) that may result to you or a third party in connection with the Clubcard Partner Portal in any way.
No advice or information whether oral or written obtained by you from Tesco or within the Clubcard Partner Portal shall create any warranty not expressly made in these Terms and Conditions or imposed by law.
Tesco shall not be responsible for any breach of these Terms and Conditions caused by circumstances beyond its reasonable control.
You understand and agree that Tesco does not guarantee the accuracy or completeness of any information in or provided in connection with the Clubcard Partner Portal. Tesco is not responsible for any errors or omissions or for the results obtained from the use of such information.
You may contact or be contacted by other members of the Clubcard Partner Portal. Any communication conducted outside of the Clubcard Partner Portal or other specific activities conducted on behalf of the Clubcard Partner Portal are at your own discretion and are not sanctioned by Tesco nor are they necessary to participate fully in the Clubcard Partner Portal. Tesco shall not be liable for any outcomes of such communication.
This paragraph 10 shall not limit or affect our liability for fraud or if something we do negligently causes death or personal injury or for anything which cannot be excluded or limited under applicable law.
We may update these Terms and Conditions from time to time for legal or regulatory reasons or to allow the proper operation of the Clubcard Partner Portal. You should periodically review them for changes, although where possible we will try to bring any changes to your attention by putting a notice on the Clubcard Partner Portal. If you continue to use the Clubcard Partner Portal after the date on which any changes come into effect, your use of the Clubcard Partner Portal indicates your agreement to be bound by the new Terms and Conditions.
These Terms and Conditions shall be governed and construed in accordance with the laws of England and Wales. The English Courts will have exclusive jurisdiction to determine any disputes which may arise out of, under or in connection with these Terms and Conditions.
Paragraphs 9, 10 and 12 of these Terms and Conditions shall survive termination of these Terms and Conditions.
Tesco can assign its rights and/or obligations under these Terms and Conditions to any third party. You may not transfer any of your rights and/or obligations under these Terms and Conditions. Any rights not expressly granted in these Terms and Conditions are reserved.
If you violate these Terms and Conditions, and we decide not to take action immediately, we remain entitled to exercise our rights and remedies at a later time or in any other instance of a breach of the Terms and Conditions.
